AMERICA'S FREEDOM FESTIVAL AT PROVO 2006
GRAND PARADE VENDOR AGREEMENT
1. I represent to the America's Freedom Festival Committee ("Committee") that I am fully authorized to sign for and bind the
undersigned vendor ("Vendor") regarding our vending ("Vending") in the 2005 Freedom Festival Parade ("Parade"). On behalf
of the Vendor, I agree that our Vending and all associated persons associated with it shall comply with all rules prescribed by
the Committee as deemed necessary for the efficient, safe conduct of the Parade and related activities and to not engage in any
activity that is dangerous or likely to cause harm, injury, or damage to the person or property of others.
2. RIGHT OF TERMINATION: I understand that the Committee reserves the right to restrict or reject our Vending from
participation in the Parade without liability to the Committee, regardless of the cost or inconvenience to us. Any member of the
Committee may exercise this right at any point in time, before or during the Parade, for any reason considered by the
Committee to be inconsistent with the goals, values, and objectives of the Freedom Festival.
3. INDEMNIFICATION: America's Freedom Festival referred to as Owner. Vendor referred to as Contractor. To the fullest extent
permitted by law, the Contractor shall indemnify and hold harmless Owner from and against any clams and all liabilities, liens,
costs, damages, citations, penalties, fines, attorney's fees, losses, or expenses from whatever nature (collectively "Claims")
arising out of or resulting from performance of work under this agreement, provided that such claim, damage, loss or expense is
attributable to bodily injury, sickness, disease or death, or to injury or to destruction of property, but only to the extent caused in
whole or in part by negligent acts or omissions of the Contractor, the contractors, sub-contractors, anyone directly or indirectly
employed by them or anyone for whose acts they may be liable.
GENERAL PROCEDURES AND STANDARDS
1. Scope. The parade committee by Provo City Ordinance controls all vending that takes place during
the parade. Vendors must sign agreement and pay the vendor fee to be considered legal to sell or
distribute products or services along the parade route.
2. Decision of Committee. The decision of the Parade Committee concerning any acceptance of any
vending application will be considered final. The Parade Committee may, at its own discretion,
modify or change this agreement at any time including before or during the parade.
3. Controversial Material. The Parade Committee reserves the right to refuse a vendor from vending
along the parade route if, in its sole judgment, it determines that the product or services are
controversial, unlawful, political, or otherwise considered to inconsistent with the standards, theme,
quality, or purposes of the parade.
4. Binding Agreements. From time to time the Freedom Festival or Parade may, at its own discretion,
enter into product agreements with suppliers. If required by the Parade Committee the vendor
agrees to only supply product from this supplier. Vendor should request from Parade Committee a
list of binding agreements prior to parade.
5. Safety. Vendor agrees to follow any and all requests written or verbal from Parade Committee or
public safety officials. It is understood that the Parade Committee assumes no liability for loss of
sales due to these safety protocols.
6. Cleanup. A vendor agrees to cleanup and remove all trash resulting from vending activity. Vendor
should provide receptacles for patrons' use.
7. Noise. Vending activity should not use any device or machinery that generates noise that distracts in
any way from the parade. Any requests to use machinery must be approved by the Parade
Committee.
8. Vehicles. Vendor must approve use of any motorized vehicle with Parade Committee prior to the
parade.
9. Committee Discretion; Duty to Disclose. The Parade Committee reserves the right to restrict or to
reject any vendor from participation in the parade, even after preliminary acceptance, without
liability for any inconvenience, costs, or damages on the part of the affected vendor, which
prerogative may be exercised at any point in time, before or during the parade, if, in its sole judgment
and discretion, consistent with the policies and standards set forth herein, the Parade Committee
determines that there is a valid reason to do so (e.g., any misrepresentation of purpose or message or
an inappropriate presentation thereof). If any aspect of a vendor may be viewed as controversial or
contrary to the parade policies and standards, or if a vendor has any doubt about the vending
activities acceptability or any question in this regard, the vendor has a duty to fully disclose the same
and to promptly contact the Parade Committee to resolve any such problem well before the parade.
10.Vending Location. The vendor may be assigned a location to perform vending activity with limitations
on where such activity may take place. Vendor agrees to adhere to any such limitations. If the
vendor does not desire the assigned location, they are under obligation to notify the Parade
Committee well before the parade.
11.Permits. The vendor must agree to apply for all applicable Health Department permits for the food
they will be vending. In addition, if any other permit is required by a governmental agency (local or
otherwise) that might restrict vending, the vendor agrees to obtain permits prior to the parade.
